Registering a corporation in New York.

S corp or C corp, New York treats them the same for unemployment insurance: officers who work in the business are employees.

Do you need to register?

Yes, once the corporation pays $300 or more in a calendar quarter. Payments to officers for their services count, regardless of how much stock they own and regardless of how Subchapter S treats them.

S corporations

  • On New York's registration, an S corporation is a Corporation: the form's box reads "Corporation (includes Sub-Chapter S)". There is no separate S box.
  • Officers who perform services are employees, and their compensation for those services, including dividends or distributions, is subject to contributions.
  • That reaches further than the federal rule, which counts distributions as wages only up to reasonable compensation.

C corporations

  • The same rules: officers of all corporations who perform services are employees.
  • The legal name is the corporate name as shown in your Certificate of Incorporation.

Family and officers

  • Any family member of a corporate officer who is employed by the corporation is covered.
  • An officer who is still putting time into the corporation's business cannot collect unemployment benefits, even when unpaid.

What New York's registration asks

  • The legal entity type: Corporation, which includes Subchapter S.
  • Every corporate officer (President, Vice President and so on), with name, Social Security number, title and home address, whether or not they are paid.
  • Officers count as covered employees.

How SUIAPP.AI files it

You answer the questions for your corporation in plain language, in any of seven languages, with the AI agent explaining each one: S corp or C corp, the officer's title from New York's own list, and their share of ownership (an officer does not have to be a shareholder). Then the automation script types your answers into New York's registration and files it for you.

File it yourself on Basic, or have your accountant review everything before it is filed on Premium.
